These Terms are governed by the laws of the State of California, conflict-of-laws principles being set aside. Any dispute concerning your use of or dealings with the Site, including observance of these Terms, falls to be resolved through binding confidential arbitration within the State of California, as described under “Arbitration” below. Notwithstanding the foregoing, should you infringe or threaten to infringe our intellectual property rights, injunctive or other equitable relief may be sought by us in the state courts of California or in the U.S. District Court for the Southern District of California, and you consent to personal jurisdiction and venue there.

Arbitration
Arbitration under these Terms is conducted according to the rules of the American Arbitration Association then prevailing, and the arbitrator’s decision is binding and may be entered as a judgment in any court of competent jurisdiction. Should applicable law afford no room for arbitration, for whatever reason, each party waives its right to a jury trial and its right to participate in any class, consolidated, or representative proceeding.
